Adoption of Scholarship Criteria and set up of the Scholarship Committee
RESOLVED, that the Scholarship Committee is hereby created. This is a sub-committee of the Board of Directors and shall consist of three (3) members of the Oconomowoc Community Choir, Inc. who shall be chosen at each annual meeting of the Board of Directors to serve on such committee until the next annual meeting. If there is a vacancy, such vacancy shall be filled by the Board of Directors. The Board of Directors shall have the authority to remove any committee member at any time and replace such a member at its discretion. The basic criteria for selection of persons to receive scholarships is set forth in exhibit A, which is incorporated herein by its reference. The Committee shall adopt such further criteria, rules and procedures as it deems necessary. Provided, however that the Board of Directors shall have the authority to amend or repeal such rules and regulations, including those set forth in exhibit A. The Board of Directors shall control any and all money or assets donated to the corporation for the purposes of scholarships and any corporate money or assets that are allocated by the Board of Directors to be used for scholarships. All such scholarship money, regardless of the source of such money shall be invested and if sold or exchanged, reinvested, in such revenue producing and non-revenue producing investments as the Board of Directors determines, in its discretion. Provided, however, that any income or profit off of funds provided for or allocated to scholarships shall be used fo r scholarships or to offset any costs associated with awarding such scholarships. It is intended that multiple scholarships will be awarded. Each separate scholarship shall be awarded by majority vote of five (5) persons. The five (5) persons shall include the members of the Committee, the Vice President of the Corporation and a community representative to be named by the Committee members. The Committee members shall attempt to, but shall not be required to name a family member or representative from the family as to each separate scholarship to serve on the panel of five (5) persons as to the scholarship funds that are being awarded in the deceased family member's name only . If they are not able to name a family member or representative because none are nominated by the particular family or because the Committee feels that the person so nominated by the family is not appropriate for this : responsibility, the Committee shall name an additional choir member to serve in this capacity . It is intended that this fifth position be a different person as to each name in which a scholarship is given.

Scholarships shall be limited to a maximum of [ Members of the Oconomowoc Community Choir , Inc. shall distribute information and other criteria the Committee determines is appropriate and applications for scholarships in the scholarship area to the places that the Committee feels would result in proper notification to a good pool of potential recipients within the scholarship area . This shall include , but shall not be limited to local high schools and choirs. The form of the application is subject to change without advance notice by the Committee.Each separate scholarship shall be awarded by majority vote of five (5) persons. Based on a majorit y vote of such five (5) person s, it shall be determined whether an award shall be made and which candidate(s) shall be awarded a particular scholarship. In their discretion , the fi v e (5) persons panel shall be entitled to obtain further information and conduct such tr y out s and interviews as the y deem necessary for the proper award of the scholarship. It i s recommended , but not required that personal interviews of candidates be undertaken and auditions be held.
